Terms of Service

1. Agreement to terms
By accessing or using the Takshy platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Service.
2. Description of service
Takshy provides an AI-powered construction tendering platform that assists general contractors in processing construction documents, generating request-for-quotation packages, and managing subcontractor relationships. The Service is provided as software-as-a-service, accessed via a web browser.
3. Pilot programme terms
During the pilot programme, Takshy grants you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes. The pilot programme is free of charge for the duration agreed between you and Takshy. After the pilot period, continued access is subject to a separate subscription agreement.
4. Account responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access to your account. You agree to provide accurate and complete information when creating an account.
5. Your data
You retain all rights to the data, documents, and content you upload to the Service ("Customer Data"). You grant Takshy a limited licence to process Customer Data solely to provide and improve the Service. We will not access, use, or disclose Customer Data except as necessary to provide the Service or as required by law. You are responsible for ensuring you have the right to upload any Customer Data.
6. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Upload or transmit malicious code or interfere with the Service
- Attempt to gain unauthorised access to any part of the Service
- Use the Service in a way that could harm third parties
- Reverse-engineer, decompile, or disassemble the platform
7. AI-generated content
The Service uses artificial intelligence to process documents and generate outputs including scope extractions, RFQ drafts, and recommendations. These outputs are aids to human decision-making, not professional advice. You remain responsible for reviewing all AI-generated outputs before using them in commercial or legal contexts. Takshy does not warrant the accuracy, completeness, or fitness for purpose of AI-generated outputs.
8. Intellectual property
The Takshy platform, including its software, designs, trademarks, and content (excluding Customer Data), is the property of Takshy Inc. and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of Takshy's intellectual property to you.
9. Limitation of liability
To the maximum extent permitted by law, Takshy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if Takshy has been advised of the possibility of such damages. Takshy's total liability for any claim arising from these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim, or $100 if no fees were paid.
10. Warranty disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Takshy does not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities.
11. Termination
You may terminate your account at any time by contacting us at support@takshy.com. Takshy may suspend or terminate your access if you breach these Terms. Upon termination, your right to use the Service ceases and we will delete your Customer Data within 30 days of your request.
12. Governing law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Continued use of the Service after notification constitutes acceptance of the updated Terms.
